SECTION 4 - PRICES AND BILLING

“Delivery dates and times are estimates unless expressly agreed by Itabites in writing. For qualifying UK-stock orders of £200 or more, free delivery is available within the M25, normally within 24–48 hours. Delivery times may vary for chilled and frozen products.
For deliveries outside the M25, customers should contact Itabites before ordering so that delivery availability, charges and estimated delivery times can be confirmed.
We will make reasonable efforts to deliver within the estimated time, but we are not responsible for delays caused by circumstances outside our reasonable control, including carrier delays, traffic disruption, severe weather or other unforeseen events. If a significant delay occurs, we will contact you where reasonably possible.”

The Customer: Any business, company, partnership, or legal entity that places an order with the Company, purchases goods from the Company, or accepts a quotation for the sale of goods.
Goods: Any food, beverage, or non-food items supplied by the Company in accordance with these Conditions.
Contract: Any contract between the Company and the Customer for the sale of Goods.
Conditions: The terms and conditions set out in this document, including any special terms agreed in writing between the Company and the Customer.
Writing: Includes email and other electronic communications.

SECTION 25. ADDITIONAL B2B TERMS
“Ownership of goods remains with Itabites until payment has been received in full. Risk in the goods passes to the customer on delivery.
Any visible shortages or damage should be reported to Itabites as soon as reasonably possible after delivery.
Products supplied will comply with applicable UK food law at the time of supply. Customers remain responsible for appropriate storage, handling and use after delivery.
Customers are responsible for keeping their account and login details secure and for orders placed through their account.”
SECTION 29. Payment
“Payment must be made in accordance with the payment method or credit terms agreed with Itabites. Where credit terms have been granted, payment must be made by the agreed due date. Late commercial payments may be subject to interest and recovery costs in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.”
SECTION 31. Returns and Replacements
“Due to the perishable nature of many food products, returns are generally accepted only where goods are defective, damaged, incorrectly supplied or otherwise not in accordance with the order.
Any shortages, visible damage or delivery errors should be reported to Itabites as soon as reasonably possible, preferably within 24 hours of delivery.
Where a return is agreed, goods should be kept in their original packaging and stored appropriately until collection or further instructions are provided. Nothing in this section affects any rights that cannot lawfully be excluded.”
SECTION 32. Product Compliance
“Products supplied by Itabites will comply with applicable UK food safety and labelling requirements at the time of supply. Customers are responsible for storing, handling and using products in accordance with the manufacturer’s instructions and applicable food safety requirements after delivery.”
SECTION 34. B2B Sales Only
“Itabites is primarily a wholesale supplier to restaurants, pizzerias, retailers and other food businesses. We may request business information where reasonably necessary to open or manage a trade account or to provide credit terms. A VAT number is not required unless it is applicable to the customer. Orders are subject to these Terms and any additional trade terms agreed with Itabites in writing.”
